Fund Agreement:

Sam Goldstein Memorial Fund

 Fund Name: Sam Goldstein Memorial Fund (The Fund)

 Fund Purpose: To provide funds for special projects promoting the educational goals and musical tradition of the Saint Louis Wind Symphony (SLWS), under the discretion of the SLWS Board of Directors (Board).

 Special Project Scope: Special projects are defined as specific, non-budgeted projects that meet the goals of the SLWS. Examples of such projects include

Ø      Commissioning a new work for wind symphony
Ø     
Obtaining new, specialized equipment (such as recording equipment, musical instruments, sheet music, etc.)

Ø      Providing travel opportunities for the SLWS (to a conference, special performance venue, etc.)

Ø      Enabling a special guest artist to appear with the SLWS (including their appearance fees, travel, lodging, etc.)

 Fund Operation: Use of The Fund is to be consistent with SLWS mission and the 501(c)(3) non-profit status of the SLWS.  The Fund shall be maintained a separate financial account from the operating funds of the SLWS and will not be used for general, operating purposes. All interest or investment gains from The Fund shall be returned to The Fund. 

Fund Committee: The Chairman of the Board, in lieu of a standing committee for this purpose, shall appoint a Fund Committee that will oversee The Fund. This committee shall be responsible to soliciting and collecting monies for The Fund as well as ensuring that The Fund is properly invested and accounted for by the Board. They will report to the Board at least once a calendar quarter on the balance in the Fund as well as on the progress of any special projects under development. The Fund Committee shall include at least one Board member who will be Chairperson of the Fund Committee, but may include as many other members from the Board, the SLWS or others outside the SLWS as necessary to meet the needs of the Committee. The Committee shall recommend special projects to the Board for approval and will then oversee those projects to their completion.

 Funding Process: For monies to be expended from The Fund, a project proposal shall be submitted to the Board at least two weeks prior to a Board meeting (regular or special meeting for this purpose). The project proposal must include, at a minimum, a project description and budget. The decision to approve a project shall require an affirmative vote by a 2/3 majority of the voting membership of the Board, following provisions in the SLWS Governing Bylaws.
